Terms of Service

Last updated: October 21, 2026

These Terms govern your use of bodyguardhealthsystems.com and the services provided by R3 Integrated Health Plus LLC, a Florida limited liability company doing business as BodyGuard Health Systems ("BodyGuard," "we," "us"). By using the site or purchasing a plan, you ("Client," "you") agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind it.

1. The services

BodyGuard provides practice-operations software and setup services, such as website chat and voice assistants, missed-call text-back, scheduling, reminders, follow-up, review requests, reactivation, dashboards, and related configuration (the "Services"), as described in the plan you purchase. Plan contents and prices are shown on our website at the time of purchase. During the term we grant you a limited, non-exclusive, non-transferable right to use the Services for your business operations.

2. What BodyGuard is not

BodyGuard is not a healthcare provider, billing company, referral network, lead broker, medical practice, or legal-services provider. It is a B2B practice-operations software and implementation company. Clients pay fixed setup and subscription fees for technology, automation, communications, scheduling, workflow, and support services.

  • Not medical or legal advice. The Services do not diagnose, treat, give medical advice, or give legal advice. You and your licensed professionals remain responsible for all clinical, legal, and professional decisions.
  • No guaranteed results. We describe benefits the Services help enable. We do not guarantee any number of leads, appointments, patients, clients, cases, reviews, revenue, rankings, hours saved, or other outcomes.
  • Billing and reimbursement. If you use BodyGuard to organize documentation you may use for billing, your clinical and billing team decides code selection, eligibility, coverage, and submission. We do not bill payers on your behalf and do not guarantee reimbursement.

3. Setup and start time

After purchase, you will complete a setup questionnaire and provide access we reasonably need (for example, calendar, phone forwarding, Google Business Profile, website access). The 14-day start-time period begins after both payment is verified and the setup questionnaire is complete, whichever happens later. Timing depends on you providing timely access and approvals, and on third-party steps outside our control (for example, carrier text-message registration). You will review and approve workflows and message wording before launch.

4. Fees and payment

  • Plans are billed monthly in advance. Where a setup fee applies, it is charged together with the first month at signup.
  • Pilot Practice Program. For up to 10 practices accepted into the program, we waive the setup fee for Essential or Growth Pro and discount the monthly plan fee by 25% for the first 90 days from your first payment; after that the regular monthly fee applies. The discount and waiver depend on you keeping the Services for at least 90 days: if you cancel before then, the regular setup fee shown on your order becomes due and will be charged to your payment method on file. Pilot practices agree that we may measure the results of the Services at their practice during the program; we publish a case study, name or testimonial only with your written permission, and any published testimonial will state that you received a discount. Stand-alone products and the Website Build are not part of the program.
  • Setup and build fees are non-refundable once work has begun.
  • Usage beyond included allowances (for example, voice minutes over the included amount) is billed at the rates shown for your plan.
  • Pay by card, or by ACH bank transfer where offered at checkout. We do not add a card processing fee.
  • Late or failed payments may result in suspension of the Services. If your account is suspended, your subscription fees keep accruing during the suspension, and suspension does not forgive anything you owe.
  • We may change prices with 30 days' notice, effective the next billing period.

5. Term and cancellation

Month-to-month with no long-term contract. You may cancel future renewals at any time; service continues through the end of the period you have paid for, and you remain responsible for all charges through that date. We do not provide partial-month refunds. Either party may terminate for material breach with 30 days' written notice and an opportunity to cure. We may suspend or end the Services for non-payment, misuse, or uncured breach of these Terms. Any amounts you owe at termination — including fees accrued during a suspension — remain due.

6. Your responsibilities

  • Provide accurate information and keep account access secure.
  • Consent and compliance: you are solely responsible for having the consents required to contact your patients or prospective clients by call, text, or email (including under the TCPA, CAN-SPAM, state laws, and carrier rules such as A2P 10DLC registration), for maintaining proof of consent, and for honoring opt-outs. Our systems support STOP/opt-out handling; you agree not to override or disable it.
  • Do not use the Services for unlawful, deceptive, or harmful messaging; do not submit fake reviews or suppress genuine ones.
  • Healthcare Clients: do not enable patient-facing features that involve protected health information until a Business Associate Agreement is in place.
  • Law firms: the assistant must not be used to give legal advice or to form an attorney-client relationship.

7. Automated assistants

Assistants identify themselves as automated, follow the scope you approve, and route clinical or legal questions to your team. You are responsible for reviewing assistant scripts and knowledge before launch and for keeping your practice information current.

8. Third-party services

The Services rely on third-party platforms (for example, HighLevel, Stripe, telephony and SMS carriers, email providers, and AI model providers). We are not responsible for outages, changes, or policies of those providers, but we will work to minimize any impact.

9. Data

  • Your data stays yours. You own the business information and end-user information you provide or collect through the Services. You may export it during the term and for 30 days after cancellation.
  • We may use aggregated and de-identified information to operate and improve the Services.
  • Our Privacy Policy (bodyguardhealthsystems.com/privacy) explains how we handle personal information.
  • Suggestions or feedback you provide about the Services are assigned to us, royalty-free, and we may use them without obligation to you.

10. Intellectual property

We own the Services, software, templates, workflows, scripts, and materials we provide, except your content. You may not resell, copy, or reverse-engineer the Services.

11. Confidentiality

Each party will keep the other's non-public business information confidential, use it only to perform under these Terms, and not disclose it except to advisors, contractors, or as required by law.

12. Warranty disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Use of the Services DOES NOT GUARANTEE COMPLIANCE WITH ANY LAW OR REGULATION; YOU REMAIN RESPONSIBLE FOR YOUR OWN COMPLIANCE.

13. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID US IN THE 6 MONTHS BEFORE THE CLAIM.

14. Indemnity

You will defend and indemnify BodyGuard against claims arising from your messaging content, your lack of required consents, your professional services, or your breach of these Terms.

15. Governing law and disputes

Florida law governs these Terms. Disputes will be resolved in the state or federal courts located in Pasco County, Florida. Any claim must be brought within 12 months of when it arose.

16. Electronic signature

You may accept these Terms, your order, and any related agreement electronically. An electronic signature or click-to-accept has the same effect as a handwritten signature, and we may rely on the electronic record of your acceptance.

17. Text message (SMS) program

BodyGuard Health Systems, operated by R3 Integrated Health Plus LLC, sends text messages to people who give consent on our website forms. Messages cover your request, appointments, onboarding and your account. We do not send marketing to consumers and we do not use purchased lists.

  • Message frequency varies. Message and data rates may apply, based on your mobile plan.
  • Opt out any time by replying STOP. You will get one message confirming you have opted out, and no further messages unless you opt in again. Reply HELP for help, or email [email protected].
  • Carriers are not liable for delayed or undelivered messages.
  • Consent to receive text messages is not a condition of any purchase.
  • You must be at least 18 years old to opt in to text messages.
  • We do not sell, rent or share mobile numbers or SMS opt-in data with third parties or affiliates for their own marketing. See our Privacy Policy.

18. General

Neither party may assign these Terms without the other's consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets. These Terms are the entire agreement for the Services and supersede prior discussions. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. Notices go to the addresses on file and are effective when sent.

19. Changes

We may update these Terms by posting a new version. Changes apply to the next billing period after notice.
